Terms of Service

A binding agreement between you and Spawnside LLC, a Florida limited liability company ("Spawnside," "we," "us"). By creating an account or using Spawnside (the "Service") you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. Spawnside is for adults 18 and older.

1. Who can use Spawnside

You must be at least 18 years old. By using the Service you confirm you are 18 or older. We do not knowingly allow anyone under 18, and will close an account we learn belongs to a minor. You are responsible for your account and for keeping your login secure. One account per person unless we agree otherwise.

2. Your content

You keep ownership of what you post ("Your Content"). By posting it you grant Spawnside a worldwide, non-exclusive, royalty-free licence to host, store and display Your Content solely to operate, promote and improve the Service. The licence ends when you delete Your Content or your account, except for copies already shared with others or kept briefly in backups.

You are solely responsible for Your Content and confirm you have the right to post it. We do not endorse user content, and under 47 U.S.C. § 230 we are not the publisher of content posted by others.

3. Acceptable use

You agree not to:

• harass, bully, threaten, stalk, defame or incite violence against anyone
• post content that is unlawful, hateful, sexually explicit, or that sexualises or targets a minor
• post anyone's private information, or copyrighted or confidential material you have no right to
• post leaked, hacked, cheated or unreleased game material
• impersonate anyone or misrepresent your affiliation
• spam, advertise, run scams, or sell accounts or game assets for real money (see section 4)
• break any game's rules or End User License Agreement through the Service
• scrape, overload, probe or attack the Service, or use bots to abuse it
• evade a block, ban or other enforcement

We may remove content and suspend or terminate accounts that break these Terms, with or without notice. Our Community Guidelines are part of these Terms.

4. Trading and in-game items

Spawnside may let members arrange trades of in-game items or services for other in-game items or services only. Real-money trading is prohibited: you may not buy or sell game accounts, items, currency or services for real money or anything of value, and you must follow each game's EULA. Spawnside is not a party to any trade, holds nothing of value, and is not responsible for any trade, loss, scam or dispute between members. Trades are at your own risk.

5. Not affiliated with game publishers

Spawnside is an independent fan platform, not affiliated with, endorsed by or sponsored by Cloud Imperium Games (Star Citizen), Bulkhead or Team17 (WARDOGS), Blizzard Entertainment, or any other game publisher. Game names, trademarks and content belong to their owners and are used for identification and community purposes only.

6. Third-party services

The Service works with third parties including Discord, Google and Twitch (sign-in and integrations), Supabase (database) and Cloudflare (hosting). Your use of those services is governed by their own terms, and features that depend on them may change or stop.

7. Copyright — DMCA

We respond to valid notices under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c)(3) to our Copyright Agent: Copyright Agent, Spawnside LLC, support@spawnside.com (full agent details on the Copyright page). We remove infringing material and terminate repeat infringers.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, or that any content or member is accurate, safe or trustworthy. You use the Service at your own risk.

9. Limitation of liability

TO THE FULLEST EXTENT ALLOWED BY LAW, SPAWNSIDE AND ITS MEMBERS, MANAGERS, OFFICERS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA OR GOODWILL, OR FOR THE CONDUCT OF ANY MEMBER OR THIRD PARTY. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US IN THE PRIOR 12 MONTHS OR (B) ONE HUNDRED U.S. DOLLARS ($100). Where a jurisdiction does not allow these limits, our liability is the smallest amount allowed.

10. Indemnification

You agree to defend, indemnify and hold harmless Spawnside and its members, managers, officers and agents from any claim, loss, liability, cost or expense (including reasonable attorneys' fees) arising from Your Content, your use of the Service, your violation of these Terms or any law, or your dealings with other members.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access at any time, with or without cause or notice, including for a violation of these Terms. Sections that by their nature should survive (including 2, 8, 9, 10, 12 and 13) survive termination.

12. Governing law and venue

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law rules. Subject to section 13, any dispute not arbitrated will be brought exclusively in the state or federal courts located in Osceola County, Florida, and you consent to jurisdiction and venue there.

13. Dispute resolution — arbitration and class-action waiver

Please read this carefully — it affects your rights. Any dispute relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Osceola County, Florida, under the Federal Arbitration Act and Florida law — except that either party may bring an individual claim in small-claims court, and either party may seek a court injunction for intellectual-property or unauthorized-access claims. You and Spawnside agree each may bring claims only individually, not as a plaintiff or member in any class or representative action. If the class waiver is unenforceable, the arbitration provision is void but section 12 still applies. You may opt out of arbitration by emailing support@spawnside.com within 30 days of first accepting these Terms.

14. Changes

We may update these Terms. We will post the new version with a new "Last updated" date and, for material changes, give reasonable notice. Continuing to use the Service after changes take effect means you accept them.

15. General

These Terms, the Privacy Policy and the Community Guidelines are the entire agreement about the Service. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor.
